1. GENERAL PROVISIONS
1.1 Unless otherwise agreed, these terms and conditions apply to any service provided by Fokus Translatørerne A/S (“Fokus Translatørerne”), company reg. (CVR) no. 27 36 85 30.

2. TRANSLATORS AND INTERPRETERS
2.1 Fokus Translatørerne is a Danish translation and interpreting company, and all our translators and interpreters hold an MA in translation and interpreting and were state-authorised translators and interpreters (“translatører”) pursuant to the rules applicable under Danish legislation prior to 1 January 2016.
2.2 All our employees are members of the Danish trade organisation Translatørforeningen.
3. CONFIDENTIALITY AND INSIDER TRADING
3.1 Fokus Translatørerne will treat as confidential all information we receive from clients or about clients or others in connection with the services we offer our clients.
3.2 The CAT (computer-aided translation) tools used by Fokus Translatørerne, including translation databases, are operated and managed on servers hosted in Denmark
3.3 In addition, Fokus Translatørerne is subject to special rules concerning inside information about listed companies and restrictions on securities trading. We also keep an internal list of insiders.
4. RECEIPT OF AN ASSIGNMENT
4.1 Clients requiring us to solve an assignment should send us the original source language text to be translated along with a detailed description of the requested services and, in particular, the requested time of delivery.
4.2 Before Fokus Translatørerne accepts an assignment, we make sure that we have the resources required to solve the assignment and that no internal matters prevent us from accepting the assignment.
4.3 It may be difficult to assess the fee based on the below parameters, see clause 5.1, but we will provide a reasoned estimate on request. However, consumers will always receive an estimate. If it turns out that the total fee exceeds the estimate significantly, we will inform the client as soon as possible.

5. FEES AND PAYMENT TERMS
5.1 Fokus Translatørerne’s fee will be determined based on the type of assignment. Pure translation assignments will be settled based on the number of characters (with spaces) at a fixed rate per line. Other assignments will be settled on a time-spent basis at an hourly rate of DKK 1,100.00, excluding VAT. The settlement of all types of assignment also takes into account the responsibility involved, the nature and scope of the assignment, and the complexity of the assignment, including whether the assignment needed urgent consideration and involved e.g. evening work and/or weekend work.
5.2 The terms of payment are 15 days from the date of invoice, and VAT will be added according to the applicable rules. In case of late payment, default interest will be charged in accordance with the provisions of the Danish Interest Act. Payments made after the due date will cover any interest accrued first.
5.3 In some instances, we will ask for advance payment or a deposit of all or parts of the fee we expect to charge for the assignment, see clause 4.3.
6. DELIVERY, CHANGES AND CANCELLATION
6.1 Fokus Translatørerne’s delivery is subject to the quality of the original source text not complicating or causing a delay in the service. If, in connection with a translation project, Fokus Translatørerne finds that a client’s source text cannot be used as the basis for a professionally satisfactory performance of the assignment, Fokus Translatørerne will contact the client with a view to clarifying whether the source text is to be used independently or only as the basis for a translation. If the source text is to be used independently, Fokus Translatørerne may offer to revise or edit the text.
6.2 If a client makes changes or additions to a text after an agreement was made, or if the quality of the source text is as described in clause 6.1, Fokus Translatørerne reserves the right to change the time of delivery.
6.3 If a client cancels an assignment, Fokus Translatørerne is entitled to invoice the client for the time spent, see clause 5.1. If an assignment is cancelled less than 48 hours before the agreed time of delivery, Fokus Translatørerne may choose instead to invoice 50% of the fee Fokus Translatørerne expects to charge for the assignment, see clause 4.3.
7. LIABILITY, INSURANCE AND STATUTE-BARRING
7.1 Fokus Translatørerne is liable in accordance with the general rules of Danish law subject to the limitations set out in these terms and conditions.
7.2 Fokus Translatørerne has taken out liability insurance with Topdanmark Forsikring A/S. The current sum insured is available on request.
7.3 However, Fokus Translatørerne’s liability is limited to an amount of DKK 150,000.00 per assignment and in case of both ordinary and gross negligence on the part of Fokus Translatørerne.
7.4 Fokus Translatørerne cannot be held liable for any indirect loss or operating loss, including loss of data, loss of profit, etc. Further, the client must indemnify Fokus Translatørerne to the extent that Fokus Translatørerne incurs liability towards any third party in respect of services performed for the client.
7.5 If the client is a commercial enterprise, any claim for damages against Fokus Translatørerne will be statute-barred 12 months after the client became aware of the circumstances justifying a claim. However, statute-barring will take effect not later than three years after provision of the service on which the claim is based.
8. DUTY OF DISCLOSURE
8.1 Fokus Translatørerne’s processing of personal data is set out in our privacy policy which is available on our website at www.fokustranslations.dk.
9. FOKUS TRANSLATØRERNE AND UTE MANSFELDT
9.1 Fokus Translatørerne is a limited liability company registered under company reg. (CVR) no. 27368530. Ute Mansfeldt carries on an independent translation and interpreting business in an office partnership with Fokus Translatørerne. These terms and conditions also apply to all services provided by Ute Mansfeldt.
10. GOVERNING LAW AND JURISDICTION
10.1 Any disputes concerning services provided by Fokus Translatørerne are in all respects – unless otherwise expressly agreed – governed by general Danish law, and any disputes may only be brought before the Danish courts of law with Copenhagen as the agreed venue.
